OREGON TRAIL TRAVELERS BYLAWS:

ARTICLE I - ORGANIZATION

Section 1. Name

The name of the corporation is the Oregon Trail Travelers (hereinafter referred to as the "Travelers").

Section 2. Organization

The Travelers is a nonprofit corporation incorporated under the laws of Washington State.

Section 3. Administrative and Fiscal Year

The administrative and fiscal year of the Travelers shall be from January 1st through December 31st. The period of duration of the Travelers shall be perpetual.

Section 4. The Living History Association

The Travelers may be affiliated with the Living History Association or other non profit corporations organized and functioning for historical and or museum purposes.

Section 5. Dissolution

In the event of the dissolution of the Travelers, the Travelers shall make provisions for the custody of all materials of historic value received by it, and all other assets, records, treasury funds, insurance policies, and agreements, by placing these materials and assets in the custody of the Chelan County Historical Society, making the Chelan County Historical Society trustee of all material and assets until such time as functions of the Oregon Trail Travelers are resumed. However, if the named recipient is not then in existence or no longer a qualified distribute, or unwilling or unable to accept the distribution, then the assets of this organization shall be distributed to a fund, foundation or organization which is organized and operated exclusively for the purposes specified in section 501 (c) (3) of the Internal Revenue Code.

ARTICLE II- PURPOSE

The purpose of the Travelers shall be to perpetuate the history of the Oregon Trail through:
  1. Historical presentation to promote public awareness of era lifestyles and trades of the Oregon Trail era.
  2. Development of a greater understanding by the members of life and craftsman skills of the era.
  3. Promotion of understanding and safe use of black powder firearms.
  4. Christian fellowship with others.

ARTICLE III- MEMBERSHIP

Section 1. Benefactors

Membership shall be open to all persons who are interested in the purposes of the Travelers and assist it through the payment of dues and by participation in Travelers activities.

The following categories are intended for individuals and organizations who wish to make additional contributions, beyond membership dues to the Travelers. Benefactors will be appropriately recognized by the Travelers.

Annual dues may be increased or decreased by a majority vote of the Board of Directors and ratified by a majority of members present at a regular meeting of the Travelers, the same to take effect at a date determined by the Board of Directors. Dues are due at Annual meeting set by the board of directors, see Article IV section 2.

Section 4. Honorary Membership

An Honorary Membership may be given to an individual or organization in recognition of outstanding achievements or for service rendered to the Travelers upon approval of a majority vote of the Board of Directors. Honorary members shall enjoy all the rights and privileges of membership, except those of making motions, of voting and holding office.

Section 5. Admission to Membership

Any person desiring membership in the Travelers shall submit to the Paymaster an application form and one (1) year's dues.

Section 7. Denial or Revocation of Membership

Denial or revocation of membership will be the result of a majority vote by the Board of Directors. The Scribe will notify the Applicant or Member of the causes(s) and action of the Board in writing.

Section 8. Appeals

The Applicant or Member has thirty (30) days to submit a written Appeal to the Board of Directors, thus obligating the Scribe to place the appeal on the agenda of the next membership meeting. A majority vote by the membership present at the meeting will be required to either veto the Applicant's or member's appeal or to reinstate the application or membership.

ARTICLE IV- MEETING

Section 1. Membership Meetings

Regular membership meetings shall be set by the Board of Directors.

Section 2. Annual Membership Meetings

The annual membership meeting shall be held the second Saturday in November of each year or as otherwise designated by the Board of Directors. Installation of officers shall be held. The approved annual budget for the upcoming year shall be presented. The annual report for the previous year shall be presented.

Section 3. Special Meetings

Special meetings of the membership or Board of Directors shall be called by the Wagonmaster, the Board of Directors, or at least five (5) members having voting rights making written request to the Wagonmaster or Scribe. Special meetings may be called for a specific purpose with no other business being transacted.

Section 4. Board of Directors Meetings

Regular Board of Directors meetings shall be as set by the Board of Directors and shall be open to the membership.

To the extent practicable, at least ten (10) days notice of any meeting date and location shall be given.

Section 7. Procedure

The order of business at a general meeting shall follow Robert's Rules of Order (revised); however, the order of business may be revised or dispensed with by the Board of Directors member presiding if circumstances decrees that such action be taken.

Section 8. Voting

Each adult family member or director in good standing shall be entitled to have one (1) vote on all matters. No proxy votes shall be allowed. Unless otherwise provided in these bylaws, a majority vote of the members and directors voting shall control, except directors may not vote on committee matters of which they are members.

ARTICLE V - OFFICERS AND DIRECTORS

Section 1. Positions

The officers of the Travelers shall be Wagonmaster, Scout, Scribe, and Paymaster. In addition, there shall be two Directors: the immediate Past Wagonmaster and a Director at Large.

Section 2. Term of Office

The term of office shall be one (1) year or until a successor is installed.

Section 3. Vacancy

If a vacancy occurs, the Board of Directors shall appoint a member to serve the balance of the term. Except for the Director at Large. The Director at Large shall be elected by a majority vote of the membership at the next membership meeting.

Section 4. Removal of Officer

A two-thirds majority of the members present at a regular membership meeting may cause the removal and replacement of an officer or director for failure to fulfill his/her responsibilities. Notice of any proposed action and causes(s) therefore shall be given ten (10) days in advance and included in the notice of the meeting. The officer or director may make appeals according to Article III, Section 8, of the Bylaws.

ARTICLE VII - DUES

Section 1. Travelers Dues

Dues or other considerations to be paid by the members or benefactors shall be as set by the Board of Directors and ratified in accordance with Article III, Section 3.

Section 2. Overdue Dues

The Scribe shall notify members in writing three (3) months in arrears, and members whose dues are not paid within sixty (60) days of such notification shall be automatically dropped from membership in the Travelers.

Section 3. National Dues

Dues for membership in the Living History Association or other such organizations shall be optional and in addition to the Travelers dues.

ARTICLE VIII - COMMlTTEES

A formation of a Committee must be approved by majority vote of the Board of Director.

ARTICLE VI - BOARD OF DIRECTORS

Section 1. Positions

There shall be six (6) positions on the Board of Directors. The Board of Directors shall consist of the four (4) officers and the two (2) directors.

ARTICLE IX- ELECTION PROCEDURE

Section 1. Nominating Procedures

Candidates shall be nominated for all officers and Director at Large. The nominations shall occur at the November meeting.

Section 2. Procedures and Time of Election.

Election of officers and director shall be by secret ballot. The election must be completed at the annual membership meeting in November.

ARTICLE X - AMENDMENTS

Section 1. Vote

These bylaws may be amended by a two-thirds (2/3) vote of the membership present at a membership meeting of the Travelers except as noted in Article III, Section 3.

Section 2. Advance Presentation

Any proposal for amendments to these bylaws shall be presented in writing to the membership at least thirty (30) days in advance of the membership meeting in which the vote shall occur.

Section 3. Effective Date.

Provision of these bylaws shall become effective immediately upon ratification by the members.
